VENDOR TERMS & CONDITIONS

Effective Date: Upon Vendor Registration

Welcome to Main Street Collective LLC (“Main Street Collective,” “MSC,” or “Marketplace”). By registering as a vendor (“Vendor”), you agree to the following Terms & Conditions.

1. Vendor Eligibility & Verification

To participate as a vendor, you must:

Be a small business operating within the United States
Provide a complete, accurate, and current business address during registration
Maintain sufficient inventory and high-quality product images that meet MSC standards
Comply with all applicable local, state, and federal laws, regulations, and licensing requirements

Verification & Misrepresentation
MSC reserves the right to verify vendor eligibility at any time. If information provided is false, misleading, or materially inaccurate, MSC may suspend or terminate the vendor account without refund.

2. Subscription Plans, Fees & Commissions

Vendors must maintain an active monthly subscription plan.

Starter Maker Plan

$25/month
20% commission on sales
Unlimited product listings
Personalized storefront on the MSC website
Inclusion in marketplace search and collections
Welcome social media post
Weekly payouts (see Section 2.2)
Access to vendor guides and training resources
Email support response within 2 business days
Facebook Group training access

Growth Maker Plan

$45/month
15% commission on sales
All Starter Maker features, plus:
Limited featured placements across the marketplace
Minimum of one social media post per quarter
Review and optimization of 2–3 listings per month
Quarterly performance summary (views, clicks, add-to-cart actions, conversions)
Email support response within 1 business day
Access to select Maker Academy content and optional course discounts
Participation in vendor calls plus one quarterly personalized strategy call

Pro Maker Plan

$75/month
10% commission on sales
All Growth Maker features, plus:
Featured placement opportunities, including homepage visibility
Minimum of one social media post per month
Review and optimization of up to 10 listings per month
Detailed quarterly performance reports with trends and strategic recommendations
Email support response within 2 hours during business hours
Full Maker Academy access
Participation in vendor calls plus monthly personalized strategy calls

Important Notes

Subscription fees are billed monthly and are non-refundable.
Commission is automatically deducted from completed sales.
MSC reserves the right to update pricing, features, or plan structures with advance notice.

2.1 Subscription Term, Billing & Cancellation

All vendor subscriptions operate on a month-to-month basis.
Vendors may cancel at any time via their account dashboard or by written notice to MSC.
Upon cancellation, the subscription remains active through the end of the current billing cycle, and the next scheduled charge will not be processed.
No refunds or prorated credits are provided for partial months, unused time, or unused features.
Vendors remain responsible for fulfilling all orders placed prior to cancellation.
Commission remains due on all completed sales processed before cancellation.

2.2 Payout Schedule & Disbursements

Vendor payouts are issued weekly on Fridays.
Payouts are processed one full week after an order is marked as shipped.
Vendors should expect payment approximately 7–10 days after shipment, depending on ship date.
Orders must be properly marked as shipped with accurate tracking (where applicable) to be eligible for payout.
MSC may delay payouts in cases of unresolved disputes, suspected fraud, or policy violations.

3. Order Fulfillment & Shipping

Vendors must ship orders within 5–7 business days, unless otherwise disclosed
Custom or made-to-order items must clearly state extended processing times
Valid tracking information must be provided where applicable

MSC Shipping Rates & Cost Recovery

Vendors may elect to use Main Street Collective’s discounted shipping rates.
Vendors are responsible for accurately entering product dimensions, weight, and packaging details.
If shipping costs are miscalculated and MSC incurs additional postage or carrier adjustment fees:
- After two occurrences, the Vendor will be billed the difference in shipping cost plus a $5 processing fee per occurrence.
- Repeated miscalculations may result in loss of access to MSC shipping rates or additional administrative action.

Use of MSC shipping rates does not remove vendor responsibility for fulfillment accuracy.

4. Product Quality, Accuracy & Defects

Vendors are solely responsible for the quality, safety, legality, and accuracy of their products
Product listings must accurately represent the items delivered
All defects, damages, or misrepresentations are the vendor’s responsibility
MSC is not liable for injuries, losses, damages, or claims arising from vendor products

5. Returns, Refunds & Customer Service

Vendors must comply with MSC platform return standards and clearly communicate storefront-specific policies
Vendors are responsible for all costs and logistics related to defective or problematic products
Vendors must respond promptly to product-related customer inquiries
MSC may facilitate communication but does not assume liability for vendor fulfillment issues

6. Intellectual Property, Content License & Marketing Use

Vendors retain ownership of all images, videos, descriptions, logos, branding assets, and other content uploaded to MSC (“Vendor Content”).
By uploading Vendor Content, the Vendor grants Main Street Collective LLC a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to use, reproduce, modify, adapt, publish, distribute, publicly display, and create derivative works from such content for marketing, advertising, promotional, educational, and operational purposes.
This license includes, without limitation:
- Use across websites, marketplaces, social media, email campaigns, advertisements, and promotional materials
- Use in AI-generated or AI-assisted content, including advertisements, videos, reels, animations, composites, and automated campaigns
- Editing, resizing, enhancement, stylization, and other modifications
Vendor Content may be used with or without attribution at MSC’s discretion.
This license survives cancellation or termination of the vendor account for materials already created or in use.
Vendors represent and warrant they own or have rights to grant this license and that use does not infringe third-party rights.

7. Vendor Responsibilities & Legal Compliance

Legal Compliance

Vendors are solely responsible for maintaining required licenses, permits, and registrations
MSC is not liable for penalties, fines, or damages resulting from vendor non-compliance

Platform Participation

Vendors are responsible for maintaining accurate storefronts, inventory, pricing, and fulfillment practices
Participation in promotions, campaigns, or events is encouraged but not guaranteed
Marketing placement, visibility, and performance outcomes are discretionary

Platform Changes

MSC may update tools, policies, features, or operations in good faith
Vendors agree not to hold MSC liable for such changes

8. Account Suspension & Termination

MSC may suspend or terminate accounts for policy violations, inactivity, misrepresentation, or legal non-compliance
Notice will be provided when feasible
Subscription fees, commissions, and add-on charges are non-refundable upon termination

9. Optional Add-On Services & Performance Disclaimer

MSC may offer optional, fee-based add-on services (“Add-Ons”).

No Guarantee of Sales or Profitability

MSC does not guarantee sales volume, revenue, wholesale placement, traffic, attendance, or profitability
Add-Ons provide tools, access, exposure, administrative support, or advisory guidance only

Advisory Nature

All recommendations are advisory
Vendors retain full responsibility for business decisions

Billing & Cancellation

Add-Ons may be billed monthly or one-time
Monthly Add-Ons may be cancelled at any time and end at the current billing cycle
No refunds or prorations apply

9.1 Available Add-Ons (Summary)

Wholesale Selling Add-On: $15/month + 10% wholesale commission
Event Booking & Calendar: $20/month
Business Directory Listings: $99/year (Basic), $199/year (Featured)
Promotions-Only Landing Page
Website Advertising Spots
Marketing Campaigns & Social Support
Optional Store Setup & Onboarding: $79 one-time fee

10. What Main Street Collective Provides

MSC provides:

Marketplace hosting and platform management
Personalized vendor storefronts
Sales tax collection and reporting
Order management tools
Tier-based training, marketing support, and performance insights

MSC does not guarantee sales, revenue, or marketing outcomes.

11. Fair Use & Promotional Permissions

Vendors authorize MSC to use business names, images, and materials for promotional purposes and release MSC from liability related to such use.

12. Dispute Resolution & Mandatory Mediation

Any dispute arising from these Terms or participation in MSC must first be addressed through good-faith mediation.
Mediation shall occur in Mississippi or virtually by mutual agreement.
Each party bears its own legal costs and shares mediation costs equally.
No lawsuit may be initiated unless mediation has been attempted and failed, except for qualifying small-claims matters.
Any legal action shall be brought exclusively in Mississippi state or federal courts.
Vendors waive the right to participate in any class or representative action against MSC.
